Terms and Conditions

These terms describe how businesses may use Keeping and Digifin, what customers remain responsible for, and how disputes will be handled.

1. Scope of Services

These Terms and Conditions govern access to and use of the Keeping website, Digifin product overview, and the Keeping and Digifin software services provided by Trans N Keeping Technologies Pvt Ltd ("Keeping", "we", "our", or "us").

The Services are designed for businesses and professional users managing finance, ICFR, close, risk, compliance, and related workflow activities. They may include control libraries, risk mapping, workflow assignments, dashboard monitoring, document review, and AI-assisted analysis.

2. Eligibility and Accounts

  • The Services are offered for business use only and not for personal, household, or consumer use.
  • Customers are responsible for ensuring that users authorised on their account have authority to access the Services and comply with these Terms.
  • Customers must maintain accurate account information and safeguard login credentials, SSO access, and reviewer or approver assignments used within the platform.

3. Acceptable Use

  • Customers and users must not misuse the Services, reverse engineer the platform, bypass security, interfere with availability, or use the Services to upload unlawful, infringing, or malicious content.
  • The Services must not be used to violate law, contractual restrictions, privacy rights, export controls, or third-party intellectual property rights.
  • Customers remain responsible for the legality, accuracy, and appropriateness of data, documents, workflows, and decisions entered into or managed through the Services.

4. Customer Data and Responsibilities

Customers retain responsibility for the business records, finance materials, and compliance documents they upload or generate in the Services, including general ledgers, controls, walkthroughs, reconciliations, contracts, trial balances, tasks, and evidence files.

Customers are responsible for reviewing outputs, configuring workflows, confirming user permissions, and determining whether the Services are suitable for their internal control, governance, audit, or finance processes.

5. AI-Assisted Features

Keeping may provide AI-assisted summaries, recommendations, anomaly flags, draft control steps, or workflow suggestions. These outputs are assistive tools only and must still be reviewed, validated, and approved by the customer's finance, compliance, or management team before reliance or action.

Customers should not treat AI-generated content as legal, accounting, audit, tax, or regulatory advice. Final business decisions remain the customer's responsibility.

6. Fees and Commercial Terms

Commercial fees, billing cycles, and service scope are set out in the applicable proposal, order form, invoice, or subscription confirmation. Pricing may change based on agreed platform consumption, including users, entities, workflow volume, controls, or other usage criteria agreed with the customer.

If recurring billing is part of the customer's commercial arrangement, payment processing and subscription operations will follow the applicable billing setup issued by Keeping and the relevant payment processor terms.

Failure to pay invoices or maintain the required payment authorisation may result in suspension or restriction of access until the billing issue is resolved.

7. Intellectual Property

Keeping and its licensors retain all rights, title, and interest in the Services, software, documentation, site content, branding, and underlying technology, including all related intellectual property rights.

Except for the limited right to use the Services during the agreed subscription term, no licence or ownership right is transferred to the customer.

8. Confidentiality

Each party must protect the other party's confidential information using reasonable care and may use it only as needed to perform under the relevant commercial relationship, except where disclosure is required by law or authorised in writing.

9. Suspension and Termination

We may suspend or restrict access where necessary to address security risks, misuse, unlawful conduct, repeated payment failure, or material breach of these Terms or the applicable commercial agreement.

Upon termination or expiry, access may be disabled and data handling will proceed in accordance with the customer agreement, operational process, and applicable law.

10. Disclaimers and Limitation of Liability

Except as expressly agreed in writing, the Services are provided on an "as available" basis. We do not guarantee uninterrupted operation, error-free outputs, or that the Services alone will satisfy every legal, audit, accounting, or regulatory requirement applicable to a customer.

To the maximum extent permitted by law, Keeping is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data. Our aggregate liability arising out of the Services will not exceed the fees paid by the customer to Keeping for the affected Services during the twelve months preceding the event giving rise to the claim.

11. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict of law rules.

Any dispute, claim, or court litigation arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts at Gurugram (Gurgaon), Haryana, India.
